Не криптовалюта на блокчейне: особенности цифровых финансовых активов

Цифровые финансовые активы (ЦФА) появились в России в 2020 году и уже набрали определенную популярность. Рассмотрим, что они из себя представляют и являются ли криптовалютой или это похожий на нее электронный государственный суррогат.

Что такое ЦФА

ЦФА — это права собственности на те или иные активы, выраженные в виде записи в информационной системе (ИС) в цифровом формате. Их особенностью является то, что они выпускаются и учитываются в ИС, которые работают на блокчейне. Расчеты по ЦФА происходят с помощью смарт-контрактов. Таким образом, действия с цифровыми финансовыми активами осуществляются автоматически при наступлении конкретных событий.

Какие бывают ЦФА

Цифровые финансовые активы бывают трех видов:

Цифровые обязательства. По сути, они выступают аналогом обычных облигаций. При выпуске ЦФА такого типа описываются условия по выплатам;

ЦФА на участие в капитале непубличного акционерного общества (НАП). Они позволяют оцифровать акции организаций, которые не представлены на бирже. При этом, такие ЦФА дают возможность участвовать в принятии решений в компании и получать те же дивиденды.

Гибридные цифровые финансовые активы. Они дают право своим владельцам получить как товар, положенный в их основу (в физической форме), так и просто денежный эквивалент.

Зачем нужны ЦФА

Для бизнеса ЦФА — это способ избежать бюрократической волокиты, которая является неотъемлемым атрибутом того же первичного публичного размещения акций (IPO). Запустить цифровые финансовые активы можно в течение нескольких дней, в то время как размещение на бирже займет ни один месяц. К тому же, организации хотят привлечь посредством ЦФА дополнительные денежные средства.

Для граждан цифровые финансовые активы — это достаточно удобный способ диверсификации. Учитывая, что ЦФА есть практически на все, можно с достаточно небольшим капиталом приобрести долю недвижимости, драгоценных металлов или других финансовых инструментов. Еще одно преимущество цифровых финансовых активов — ликвидность. Их можно достаточно быстро реализовать, что не всегда возможно с реальным имуществом.

Чем ЦФА отличаются от криптовалюты

ЦФА и криптовалюта — два принципиально разных вида активов. Но для начала разберемся что у них общего. По сути, всего одна вещь — в основе их работы лежит технология блокчейна. На этом сходства заканчиваются и начинаются отличия.

Эмитентом криптовалюты может выступать кто угодно в любом уголке мира. ЦФА — строго регламентированный вид активов, выпуск которых могут осуществлять лишь немногие организации.

Из первого различия следует второе — нормативное регулирование. Криптовалюта по-прежнему остается в «серой зоне». Ни в одной стране мира нет достаточно полного свода закона по ее обороту. А ЦФА — это вид активов, детали которого достаточно четко прописаны в нормативно-правовых документах.

Кроме того, криптовалюты могут существовать и существуют сами по себе. Есть Биткоин, Эфириум, Cardano и так далее. ЦФА же обязательно выпускаются на какой-то другой вид активов: на акции, облигации и так далее.

Цифровой рубль и ЦФА

Цифровой рубль — это третья форма денег. Им можно будет расплачиваться за товары и услуги, как обычными или электронными рублями. ЦФА — это удостоверение прав на имущество, но не деньги. Расплатиться с помощью таких активов не получится. Таким образом, цифровой рубль не относится к ЦФА.

Как выпустить ЦФА

Выпуск ЦФА могут осуществлять только операторы информационных систем (ОИС) — специальные организации, наделенные таким правом Центральным банком. Для них регулятор ведет специальный реестр. Операторов информационных систем на май 2025 года всего пятнадцать:

ООО «Атомайз»;

ПАО «Сбербанк»;

ООО «Лайтхаус»;

АО «Альфа-Банк»;

ООО «Системы распределенного реестра»;

ООО «Токены»;

АО АКБ «Еврофинанс Моснарбанк»;

ПАО «СПБ Биржа»;

ООО «Блокчейн Хаб»;

НКО АО НРД;

АО «ТБанк»;

ООО «Токеник»;

ООО ВТБ Капитал Трейдинг;

АО «МРЦ»;

ООО «Компания БКС».

Чтобы выпустить цифровые финансовые активы, необходимо зарегистрироваться у соответствующих организаций: создать личный кабинет, пройти идентификацию и так далее. Что делать после этого, подскажет система.

Кто может инвестировать в ЦФА

Вложиться в ЦФА может любой гражданин. Однако, стоит сделать разграничение между квалифицированными и неквалифицированными инвесторами. Для первый группы вложения в ЦФА ничем не ограничены. Хотя квалифицированных инвесторов в России по-прежнему меньшинство — около 2%. К ним относятся граждане, которые соответствуют одному из следующих критериев:

имеют высшее образование в области финансов;

имеют кандидатскую или докторскую степень по экономической специальности;

их минимальный годовой доход на протяжении последних двух лет составляет не менее 20 млн рублей, при этом не учитываются поступления от сделок с недвижимостью;

объем их активов составляет от 12 млн рублей;

объем их сделок с различными финансовыми инструментами достигает не менее 6 млн рублей;

имеют опыт работы в инвестиционной сфере: от двух лет для юрлица и от трех для физлица;

владеют международными сертификатами сертифицированного финансового аналитика (CFA), сертифицированного международного инвестиционного аналитика (CIIA), финансового риск-менеджера (FRM) или каких-либо российских аналогов;

имеют одновременно образование в смежной экономической области, например, «мировая экономика», и достаточный доход, либо инвестиционный опыт, либо имущество.

Для неквалифицированных инвесторов все несколько сложнее — они могут вкладывать не более 600 000 рублей в год. При этом, отсчет идет от момента проведения сделки, а не ограничивается календарными рамками.

Для неквалифицированных инвесторов ряд ЦФА в принципе недоступен, например, по ценным бумагам, которые предназначены только для квалифицированных инвесторов.

Есть ряд цифровых финансовых активов, на которые не распространяется ограничение в 600 000 рублей в год. Например, сюда относятся ЦФА на Облигации федерального займа (ОФЗ) или акции компаний, которые включены в котировальные списки.

Налогообложение ЦФА

В случае, если сделки с цифровыми финансовыми активами принесут инвесторам деньги, придется платить налог на доходы физических лиц (НДФЛ) по ставке 13% или 15%. Первая применяется к поступлениям до 2,4 млн рублей в год или 200 000 рублей в месяц, а вторая — ко всему, что свыше обозначенного лимита. При этом обычным гражданам не нужно самим что-то платить или заполнять декларации — за них это сделают ОИС, которые выступают налоговыми агентами.

Как торговать ЦФА

В отличие от акций, для торговли ЦФА не требуется заводить брокерский счет. Любому желающему достаточно просто зарегистрироваться у оператора информационной системы. Торговлю можно осуществлять через специальное приложение на смартфоне или компьютере. Для подтверждения совершаемых сделок инвесторам необходимо обзавестись электронной подписью. После этого достаточно просто завести деньги и совершать необходимые транзакции с нужными ЦФА.

Также можно переводить активы из одной информационной системы в другую. Происходит это с помощью операторов обмена (ООЦФА). Их учет ведет Центробанк в специально сформированном для этого реестре. На начало июня 2025 года в России только две организации имеют статус операторов обмена ЦФА: ПАО «СПБ Биржа» и ПАО «Московская биржа».

Законодательное регулирование ЦФА

Основным законодательным актом, регулирующим ЦФА в России, выступает ФЗ №259 от 31.07.2020 «О цифровых финансовых активах, цифровой валюте и о внесении изменений в отдельные законодательные акты Российской Федерации».

ЦФА за рубежом

Юридические понятия в различных государствах по всему миру могут отличаться, хотя означают приблизительно одно и то же. Так, ЦФА есть в Казахстане, где они представляют собой то же самое, что и в России. По местному законодательству также идет разделение на ЦФА и криптовалюты. Последнюю именуют цифровым активом (ЦА).

К концу 2025 года власти Казахстана планируют сделать более гибкую систему, которая позволит осуществлять операции купли-продажи ЦФА для всех желающих. Пока же остается вопрос о том, кто и как будет регулировать сегмент цифровых финансовых активов. На начало июня 2025 года известно, что Центральный депозитарий ценных бумаг и Казахстанская фондовая биржа (KASE) будут одновременно выполнять роль оператора платформы и оператора торговой платформы ЦФА.

Преимущества ЦФА

Основной плюс цифровых финансовых активов — это использование блокчейна. Все операции можно отследить наглядно, а мошеннические действия сводятся к минимуму. Также ЦФА можно выпустить на любой вид активов: от алкоголя и бензина, до криптовалюты и золота. Кроме того, их необязательно привязывать к целому товару, а можно к его части. Например, не к квартире, а к квадратному метру. Дробление ЦФА — это достаточно большой плюс для инвесторов. В особенности тех, которые не обладают огромными капиталами.

Недостатки ЦФА

Цифровые финансовые активы имеют достаточно много ограничений для розничных инвесторов — можно вложить только до 600 000 рублей в год, да и то не в любые ЦФА.

Рынок цифровых финансовых активов по-прежнему остается чем-то необычным для инвесторов. У розничных инвесторов ЦФА все еще могут вызывать недоверие. Также есть проблемы и с технологическими вопросами. Платформы ОИС часто обладают недружелюбным интерфейсом для пользователей, разобраться в котором интуитивно непросто.

Кроме того, раскрытие информации о ЦФА достаточно скудное. Чтобы узнать о новом продукте, который выходит на рынок, нужно серьезно интересоваться вопросом. Новичкам достаточно сложно быть в курсе всего происходящего.

Вывод

Цифровые финансовые активы в России продолжают развиваться. С каждым годом появляется все больше новых предложений от различных компаний. Тем не менее, рынок ЦФА все еще не настолько популярен среди розничных инвесторов.

Несмотря на то, что цифровые финансовые активы функционируют на блокчейне, к криптовалюте они не относятся.
